Use of our research services cannot occur prior to agreement to these Terms and Conditions (or the “Agreement”). If you do not agree to these Terms and Conditions, you do not have permission to access information from Scope Research, LLC ("Scope" or "Licensor").  

1. Applicability of Terms and Conditions.

"Research" means the compiled and custom research that Scope provides via our website and otherwise, including all reports, data, databases, downloadable files, and any alterations, modifications or updates thereof. “Services” means our website or other online or offline research services.

 

These terms apply to all Research and Services provided by Scope. By placing an order, downloading files, or otherwise accessing the Research, you accept all rights granted and responsibilities included in this Agreement, and become a "Purchaser.".

 

2. Limited Use License.

Purchasers are granted a nonexclusive, revocable, nontransferable right and license to access and utilize the Research they purchase.

 

For as long as Purchaser's license is active, the Research may be utilized for Purchaser’s internal use and in connection with Purchaser’s client engagements, and Purchaser is permitted to incorporate underlying Research into Purchaser’s work product and to create derived data, models, reports and other derivatives from the Research for incorporation into Purchaser work product (collectively, “Purchaser Work Product”).  Purchaser Work Product may be included in, or provided as, deliverables and/or presentations and demonstrations (collectively, “Deliverables”) to Purchaser Clients and prospective clients. “Purchaser Clients” means a client of Purchaser or an affiliate of Purchaser and provided with consulting, tax, accounting or other advisory services by Purchaser and such affiliate.

 

Purchaser may not materially reproduce the Research in any public materials such as marketing documents that are made available to the public at large (rather than prospective clients in a non-public setting which is permitted), articles, or any other public format, without written permission.

For the avoidance of doubt, Purchaser may not share, copy, sell, lease, display, reproduce, or in any other way transfer a material portion of Research files to individuals outside their organization; the Research may, however, be used to create Deliverables which may include the reproduction of an immaterial portion of the Research and shared with Purchaser clients and prospective clients.

Purchaser may not use the Research for the development of any software program, including, but not limited to, training a machine learning or artificial intelligence system unless you have entered into separate licensing agreement with Scope. 

Purchaser may not utilize the Research for any illegal purpose.

Purchaser may not materially reproduce the Research in any public materials such as marketing documents that are made available to the public at large (rather than prospective clients in a non-public setting which is permitted), articles, or any other public format, without written permission.

Purchaser may not utilize the Research for any illegal purpose.

Upon expiration of a license, Purchaser may no longer utilize the Research except as such Research has been incorporated in Work Product created during the term of the license (and any derivatives of such Work Product). As between the Parties, Purchaser shall own all right and title to the Work Product (excluding any Research contained therein). To the extent such Work Product contains or incorporates underlying Research, Licensor hereby grants Purchaser the right to use such Research in perpetuity within such Work Product (and any derivatives). For example, Purchaser shall not be required to remove Research from Work Product retroactively or request that Research or Work Product be deleted.

Purchaser agrees to cite “Scope Research” in any materials that include the underlying Research.

 

Scope reserves the right to review and limit usage if deemed harmful to Scope's business.

 

3. Copyright.

The Research and its contents are subject to copyright protection, and all other rights under the laws of the United States and the country of use. 

 

4. Warranties.

Scope represents, warrants, and covenants to and for the benefit of Purchaser as of the Effective Date and throughout the Term that Scope has, and will continue to have, full power and authority to grant Purchaser the rights granted herein without the consent of any other Party, and that Scope has the right to provide Research, including market research reports and deliverables developed or furnished by Scope to Purchaser and the foregoing are free of any and all restrictions, settlements, judgments or adverse claims.

 

Scope represents, warrants, and covenants that the Research and Services: (i) will be performed in a diligent and professional manner, consistent with the highest industry standards; (ii) and will conform to the provisions of this Agreement.

While Scope makes good faith efforts to ensure that the Research is complete and accurate, Scope does not warrant completeness or accuracy. Except as otherwise set forth herein, no other warranties are made.

5. General.

a) This Agreement constitutes the entire agreement of the parties and supersedes any prior communication between the parties with respect to the subject matter hereof and can only be amended in writing.

b) The Purchaser may not assign or transfer its rights under this Agreement.

c) This Agreement is governed by the laws of Arizona. Scope and Purchaser will submit all disputes arising out of or related to this Agreement to arbitration pursuant to the Expedited Procedures of the Commercial Arbitration Rules ("Rules") of the American Arbitration Association ("AAA").
